0. Meister Partner Programs

At Meister, our goal is to develop the most easy-to-use software tools that simplify the way people work together — and we value partners who share our vision. To this end, Meister offers three different partner programs whose aim is to create long-term, mutually beneficial relationships between Meister and its partners. A brief overview of the different partner programs is outlined below.   1. Affiliate Partner Program

  2. Affiliate partners of Meister receive a recurring commission for referring new customers to MindMeister and/or MeisterTask using their unique referral link.

  3. Affiliate partners are able to manage their referrals and request payouts for their earned commission using Meister’s partner portal.

  4. Expert Partner Program

  • The Expert Partner program was designed for consultants, trainers and other experts in the fields of productivity, project management, organization, education and creativity.

  • Applicants receive personal product training, and then may be invited to be certified as MM or MT experts.

  • Once certified, Expert Partners receive access to marketing materials and personal support for partner-organized workshops relating to MindMeister and/or MeisterTask. Partners also may receive a personal discount code that they may pass on to their customers, among other benefits.

  1.  Reseller Partner Program

  • The Reseller Partner Program is aimed at software resellers and distributors specializing in cloud-based IT solutions who wish to resell MindMeister and/or MeisterTask licenses to their customers.

  • Reseller Partners can achieve a revenue share from 10% to 30% depending on achieved sales targets.

By participating in any of the partner programs offered by MeisterLabs GmbH (Zugspitzstrasse 2, 85591 Vaterstetten, Germany, “Meister”), you (“Partner”) agree to Meister’s partner terms and conditions as outlined herein (“Agreement”). These terms and conditions apply exclusively. Your contract terms shall not apply. Counter confirmation from you with reference to your own contract terms are expressly rejected.

1. Partner Websites

Partner may link to and reference information provided on Meisters’ public websites on your own website and in promotional materials but must not copy any content verbatim or publish any word-for-word translations of copied content.

Partners may not create or design their website or any other website that they operate, explicitly or implied in a manner which resembles Meister websites, nor shall they design their own website in a manner which leads customers to believe they are Meister or any other affiliated business. Expert Partners and Reseller Partners may embed their official partner badges on their website and state their partner status on their website.

Partners may not give the impression of being employed by Meister on their resumes both online and offline, on LinkedIn, or other social networking sites.

Meister reserves the right to reject Partner applications or cancel an existing Partner account if we determine that their site is unsuitable for our Program, including, but not limited, if the site:

  • Promotes sexually explicit materials.

  • Promotes violence.

  • Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

  • Promotes illegal activities.

  • Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law.

  • Includes “Meister”, “MeisterTask”, “MindMeister”, “MeisterLabs” or variations or misspellings thereof in its domain name.

  • Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to Meister in our sole discretion.

  • Contains software downloads that potentially enable diversions of commission from other Affiliates in our program.

  • Promotes “get-rich-quick” schemes that have no tangible business value.

  • Is in violation of any other term or condition referenced herein.

2. Advertising and Promotions

General compliance: Partners shall perform their activities hereunder in compliance with all applicable laws or regulations regarding advertising and providing services by electronic means, including those related to the processing of personal data (e.g. General Data Protection Regulation).

Offering incentives: Unless otherwise approved in writing by Meister, Partner may not offer incentives to users as a means to enhance the performance of any Partner Program; incentives include but are not limited to awarding them cash, points, prizes, contest entries, etc.

Advertising Affiliate Links or Codes (EPC Codes or Discount Codes): The links and codes assigned to a Partner are unique to the respective Partner and may only be used by the Partner personally in their efforts of referring customers to Meister products. Partner shall not list codes or discounts that were not officially provided to them by Meister, i.e. Partner may not promote codes Partner have found elsewhere.

Partners shall only publish their affiliate links and codes on their own web properties (their website, blog, podcast, newsletter, etc.). Partner shall not publish its codes on websites of any third parties nor place its codes on web pages or other web properties that are keyword optimized for any Trademark Plus (TM+) terms such as (but not limited to) “MindMeister discount,” “MeisterTask promo code” or “Meister coupon code”. For the avoidance of doubt, Partners are strictly prohibited from submitting/publishing their affiliate links or codes to coupon websites. In the event Partners become aware of the publication of their promo code or coupon code on a third party website, or any other misuse of such codes, Partners shall take all necessary measures to prevent such misuse and notify Meister immediately. 

The partner is solely responsible for safeguarding its codes against theft from or usage by third parties (such as on coupon websites). In case third parties publish or use a partner's code, the partner is solely responsible for getting it taken down as soon as it comes to the partner’s attention, but at least within 30 days of Meister informing them about the issue. In the event Partners become aware of any misuse of their codes, Partners shall notify Meister immediately. 

Codes that remain online on unauthorized websites or otherwise used or spread by third parties after 30 days will be made invalid. It is at Meisters’ sole discretion to provide the partner with a new code or terminate the partnership.

Partner acknowledges that 

  • discount codes are generally only valid for as long as the partnership is active, and

  • during the course of the partnership, the code word used may have to be modified or the discount amount provided by the code may be adjusted by Meister at its sole discretion. This could be necessary in case the terms of the program change or in case it comes to Meister’s attention that the code has leaked or is being misused, either by the partner or by an unauthorized third-party. 

Partners are solely responsible for ensuring that any public properties where their codes are placed can be (and are) updated in such an event. Meister has no liability whatsoever in case the partner fails to update the code or related messaging.

Anti-Spam-Policy: Partners shall not use spam e-mail or other forms of Internet abuse (including spamming forums, blogs, Twitter, Facebook and other social media outlets) to seek referrals. Spam includes, but is not limited to, the following:

  • electronic mail messages addressed to a recipient with whom the sender does not have an existing business or personal relationship or is not sent at the request of, or with the express consent of, the recipient through an opt-in subscription.

  • posting Affiliate Links or codes on third-party websites, in particular websites whose primary purpose is the promotion of coupons or discount codes. 

  • posting Affiliate Links codes in public comments or replies on third-party websites, blogs, forums and social media platforms, including, but not limited to, comments on YouTube or TikTok videos, comments on Facebook or Instagram posts, replies to tweets, posts and replies on Reddit.

  • certain off-line activities which are similar to spam, including distributing flyers or leaflets on private property or where prohibited by applicable rules, regulations, or laws.

Paid advertisements: Partners shall not purchase ads or conduct any paid advertising activities that could be considered as competing with Meisters’ own advertising. This includes, but is not limited to:

  • using any of Meisters’ domains, including mindmeister.com, meistertask.com, meisternote.com, meisterlabs.com, meister.co, mindmaps.com, and any of their sub domains in the URL of any keyword-based pay-per-click campaign on search engines, including, without limitation, Google, Bing, Yandex, Baidu and Yahoo.

  • bidding on any variations of MeisterLabs brand terms (including, but not limited to, “Meister”, “MeisterLabs”, “MeisterTask”, “MindMeister”, “MeisterNote”, as well as Trademark Plus (TM+) terms such as “MindMeister discount” or “MeisterTask promo code” in any keyword-based pay-per-click search engines, including, without limitation, Google, Bing, Yandex, Baidu and Yahoo.

  • bidding on competitors’ branded terms and directing traffic to Meister branded sites.

Disclosure of Affiliate Relationship: It is the sole responsibility of the Partner to disclose the nature of their relationship with Meister to any customers, and the Partner shall indemnify and hold harmless Meister against any liability arising from the Partner’s lack of proper disclosure to an actual or potential customer.

Meister may investigate any partner conduct and, at our sole discretion and with or without cause or prior notice, terminate this agreement at any time. In the event of termination, Partner will immediately cease all use of, and remove from all sites and materials all names, trademarks, and logos and all other materials provided by Meister in connection with this Agreement. 

3. Payments of Commissions

Affiliate Partners receive a 20% recurring commission for paid signups of new users they refer to Meister products using their unique Affiliate link. In order to be tracked as a referral, the signup must occur within 30 days after the visitor has clicked on the Affiliate’s link. If a visitor clicks on two different Affiliate links before signing up, only the owner of the first Affiliate link will receive a commission.

Expert Partners receive a 20% recurring commission for paid signups they refer to MindMeister or MeisterTask via the discount code associated with their Expert Partner Account. The Partner’s commission is calculated based on the actual payment of the customer after the discount has been applied. The discount code is unique to the respective Expert Partner and may only be used by him personally in his efforts to refer customers to Meister products.

Both the Affiliate Partner and the Expert Partner Commissions are recurring – the amount is subject to change as customers may switch subscription plans and add or remove licenses over the period of their subscription. For instance, if the referred customer upgrades to a higher plan or adds additional licenses to their team after their initial sign-up, the partner’s commission will increase or minimize  by a fixed percentage based on the amount the customer spends on additional licenses. Note that commissions can only be tracked and paid out for payments made by the originally referred user. Unless otherwise agreed upon, the Expert Partner discount code provides users who sign up for a paid MindMeister or MeisterTask plan with a 10% discount, which is applied on the customer’s first payment (non-recurring discount). This discount cannot be applied to already discounted plans, such as educational plans or Meister’s Bundle offer, and can not be used in combination with other discount codes.

Payments of commissions are always made in USD. If the Partner is based in the EU, their payment will be converted to Euros on the day that Meister makes the payment. Partners can track their referrals and commissions in Meister’s Partner Portal and may request a payout of their commission as soon as an accumulated commission of $150 USD has been reached. Payouts are exclusively handled via PayPal.

Upon termination of a partnership, Expert Partners and Reseller Partners lose access to the areas of the Partner Portal pertaining to the Expert and Reseller programs and the ability to manage coupons and commissions. This means that any commissions generated by Expert Partners via the usage of their unique discount code will not result in a payment after the partnership has ended.

However, former Expert and Reseller Partners can continue to make use of Meister’s Affiliate Partner program and earn commissions through this program as long as they maintain a paid MindMeister and/or MeisterTask subscription.

Individuals may make use of more than one program. For instance, a Reseller Partner may also apply for the Expert Partner program and make use of the Affiliate Program. However:

  • Coupons generated by Reseller Partners cannot be combined with any discount codes.

  • In the event that a user signs up via an Affiliate link and then upgrades to a paid plan using an Expert Partner discount code, the commission generated by the user’s payments will be counted towards the Expert Partner Commission, not the Affiliate Commission.

If MeisterLabs determines, in its sole and exclusive discretion, that any sign-up from a referred customer was procured fraudulently or as a result of any violation of these terms and conditions (in particular but not limited to clause 2 of these terms) or applicable law, no Commission will be earned by Partner or paid by Meister for such sign-up and, for past sign-ups, such paid amounts shall be deducted from Partner’s  future commissions. The enforcement of further claims (repayment, damages) or other rights remains reserved.

4. Meister’s Rights and Obligations

We reserve the right to work with as many Resellers, Expert Partners, and Affiliate Partners as we choose. Partners do not receive exclusive rights to a certain area or country of operation or otherwise.

Meister retains ownership and all rights, titles and interest of all Meisters’ Trademarks and any other intellectual property rights. No intellectual property rights are granted to Partner hereunder otherwise expressly set forth herein.

Affiliate Partners and Expert Partners are attributed the commission of a referred user’s first payment. Meister reserves the right to change and/or discontinue the commission model at any time. Meister promises to inform Partners of such changes with at least one month’s notice.

Meister makes no representation to Partner that the operation of the partner websites or the affiliate and referral links will be uninterrupted or error-free, and Meister will not be liable to Partner for the consequences of any interruptions or errors.

Meister will make all reasonable efforts to track and pay commissions to the Partner. However, Meister is not liable for technical issues, acts by third parties, or other inaccuracies or events outside Meisters physical or technical control.

Meister reserves the right to discontinue any partnerships and their associated commissions, one or all Partner levels or the Partner Program as a whole at any time and without any reason given.

Affiliate Partners and other Partners of Meister are subject to Meister’s terms of service.

5. Indemnification

Partner will indemnify Meister against all claims, including claims for damages, brought by customers or other third parties against Meister arising out of Partner’s conduct, acts, or omissions related to Partner’s application and/or activities under the partner programs, including, but not limited to, any breach of these terms and conditions. Partner will pay all reasonable costs incurred by Meister as a result of any infringement of third party rights, including reasonable costs incurred for legal defense. The foregoing obligation under this clause shall not apply to the extent that Meister is responsible for the infringement. All further rights as well as claims for damages of Meister remain unaffected

6. Final provisions

Amendments and supplements to these terms and conditions must be made in writing. This also applies in particular to a waiver of this written form requirement.

Should individual provisions of these contractual terms and conditions be or become invalid, this shall not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with one that comes as close as possible to the economic intent of the invalid provision in a legally permissible manner. The same shall apply in the event of any gaps in the agreement.

This Agreement shall be governed by, and construed in accordance with, the laws of Germany excluding rules and regulations governing conflict of laws. The exclusive place of jurisdiction is Munich, Germany.
